NASIG Conflict of Interest Policy

NASIG Board members shall adhere to the highest standards of honesty, good faith and fair dealing in all activities relating to the organization.

No Board member or any member of their respective families or households shall accept gifts, gratuities, or favors of any kind from any person, firm or corporation doing business or seeking to do business with NASIG which could reasonably be expected to influence, or create the appearance of influencing, their actions affecting the organization.

Without full and complete disclosure to and approval by the NASIG Board, no Board member shall have any position of influence with, or a material financial interest in, any other entity which does or could reasonably be expected to conflict with the proper performance of their duties or responsibilities to NASIG, or which could reasonably be expected to affect their independent judgment and action with respect to transactions between NASIG and such other entity. If such an affiliation exists, it must be disclosed to the NASIG Board.

Annually, prior to election, or upon start of duties, members of the NASIG Board shall complete and return to the NASIG Secretary a Disclosure of Interests Form for the Board’s review.

Additionally, each NASIG Board member will indicate on the Disclosure of Interests Form any potential transaction or situation that may imply reasonable doubt concerning the possible existence of a conflict of interest.

In the event that NASIG may wish to contract or enter into an arrangement for goods or services under circumstances that may present a conflict of interest affecting one or more of its members, the affected person(s) of NASIG agree(s) to provide full information to the NASIG Board to allow the Board to approve or disapprove by resolution, with the advantage of full disclosure, such contract or arrangement. The affected person shall recuse themself from the discussion and the vote. Any Board actions related to approval, disapproval, or conflict resolution will be documented in the official meeting minutes.

The NASIG President shall administer this policy. Any disputed action of a NASIG Board member with respect to this policy shall be resolved by the NASIG President, in consultation with the Board.
